Vested Outsourcing Deal Reviews and Certification

Many companies like the peace of mind that they are constructing outsourcing relationship aimed at preventing as many of the Outsourcing ailments as possible. The Vested Outsourcing Deal Review and Certification Program offers companies that outsource and their service providers a neutral third party review to ensure both parties are engaged in a sound outsourcing agreement.    Under the program, a University of Tennessee Program Faculty member will lead a formal review of your outsourcing deal.   The review includes interviews with both the company that is outsourcing and the service provider.  It also includes in depth critiques of how well the contract is structured, including a review of the performance work statement, compensation model, scorecards and governance structure. Faculty “score” the deal and the relationship on the following elements.

Foundation- does your relationship display the foundational components needed for success?
Elements – how well is the deal structured?  have you included the 10 essential Vested elements in your agreement?
Trust – is there sufficient trust between the parties to make it work?
Ailments – are either of the parties demonstrating signs of any of the 10 Outsourcing Ailments?

The Deal Review and Certification Programs includes an onsite facilitated workshop by a University of Tennessee faculty member to share insights and opportunities for improvement.   Programs that successful demonstrate the Vested principles and are creating value for both parties are formally recognized by the University of the Tennessee with the status of “Certified Vested Outsourcing Agreement”.  Companies that do not pass certification will be provided with recommendations that can help improve your deal and relationship.

Cost: Deal Reviews are based on the complexity of the deal.   A typical Deal Review costs $10,000 – $15,000 per company involved in the outsourcing deal.  Cost does not include travel and living expenses for faculty to review project.    Companies that complete a Deal Review and do not meet Certification criteria may request a followup review of the revised components at a cost of $5,000 for each company.

Vested Outsourcing Centers of Excellence

The University of Tennessee’s has teamed with a select group consulting firms that have become Centers of Excellence in Vested Outsourcing.   These Centers of Excellence are available to provide guidance and direction to help your company achieve a Vested Outsourcing agreement.   Under the program, University of Tennessee Vested Outsourcing Faculty members team with forward thinking consulting firms that have been certified in helping companies architect and govern a Vested agreement.   Vested Outsourcing coaches work much in the way a Six Sigma or Lean Black Belt coach provides support to a team going through a Six Sigma or Lean project and can support a deal team either part time or full time.

Under the program, Deal Coaches bring a unique blend of consulting, practitioner and general management experience to the firms they work with. A typical project will include facilitated workshops using the University of Tennessee official Vested Outsourcing materials and tools.   Facilitated workshops are designed to help you complete each of the 10 essential elements of a Vested Outsourcing agreement.   Workshops are typically customized based on your specific outsourcing project.    The workshops are timed according to your project – providing just-in-time “learning by doing” while the team is going through the process to get to a Vested Outsourcing agreement.  A typical engagement includes 3-5 facilitated workshops, but can range based on the size and complexity of the deal.  More in depth consulting support is also available to help teams complete deliverables needed as part of their agreement (e.g. pricing model, governance structure, performance management plan).

A key component of the program is the value of the extensive toolset the Deal Coaches bring to help your team.  Participation in the program will give your team access to our library of proven tools, thereby eliminating the need for your team to reinvent the wheel for your project.   Deal Coaches leave behind a complete set of tools that you can use over and over for all of your outsourcing needs which provides a high return on investment for companies.

Cost: Projects are quoted individually by each Center of Excellence.   Typically, Deal Coaches are funded equally by the company outsourcing and the service provider so as to provide a neutral third party perspective that allows the Deal Coach to be an advocate for the deal versus bring a biased opinion by working for only one party.   This enables the parties the absolute best ability to get a true win-win deal – the only kind of deals worth entering in.  Coaching fees vary individual – but typically range between $2,000 and $3,000 per day.
